THIS AGREEMENT is entered into as of _________[date]__________ by and between Clarified Concepts and __________[name]__________ , hereinafter called "Contractor."

In order to create and maintain a mutually trusting and respectful working arrangement, all parties agree to the following terms and conditions:

  1. Contractor and Clarified Concepts agree that Contractor serves as an independent Contractor hired on an “At Will” basis for part-time work. Either party can terminate the agreement at any time.

  2. Contractor agrees to work as a W9 Contractor.

  3. All customer and client information provided for the purposes of this agreement are proprietary and considered property of Clarified Concepts.

  4. Non-solicitation. This Agreement shall be effective upon execution. While this Agreement is in effect and for a period of twelve (12) months following the termination of this Agreement, Contractor will not directly or indirectly solicit, divert or accept training business from any individual or entity with which Contractor had contact through Contractor’s work for Clarified Concepts unless agreed upon in writing by Clarified Concepts and Contractor.

  5. Non-exclusivity. Nothing in this Agreement requires Clarified Concepts to assign jobs to Contractor, or precludes Clarified Concepts from assigning jobs to other persons.  Contractor may decline assignment of jobs, except that once Contractor accepts a job, she will perform the services required to complete the job and will do so to the best of her ability within the time frame required.

  6. Confidentiality. Contractor agrees that all proprietary information will be kept confidential and not shared, sold, retained, remarketed, contacted, distributed, or otherwise used at any time outside this project or given to any third party outside of Clarified Concepts.  Any violation of this is prohibited and will result in automatic termination and potential legal action.

  7. Services. The Services are to be furnished by Contractor in accordance with the following:

    1. Services are to be delivered at the location(s) determined by client when accepting and booking scheduled class. Contractor represents to Clarified Concepts that Contractor has special skills and appropriate training, experience, resources and availability for the purpose of furnishing the Services.

    2. Contractor agrees to furnish the Services promptly, competently and professionally, and failure to do so may result in immediate termination by Clarified Concepts upon notice to Contractor.

  8. Control and Supervision. Contractor shall at all times control the methods and means of performing the work assigned, and shall not be subject to the direct control or supervision of Clarified Concepts management.  Clarified Concepts   reserves the right to provide general direction as to the work, including the general content of the curriculum and training methodology, and the time schedule that must be met.

  9. Contract Payments. Payments are determined based upon the project, and contractor will be provided with a separate Statement of Work prior to starting any project.  Payments to contractor may be hourly or fixed price based.   Annually, Clarified Concepts shall provide Contractor a completed IRS form 1099 reporting total payment made.

  10. Travel re-imbursement is determined on a project-by-project basis and will be specified in the project Statement of Work.

  11. Content and Delivery. Contractor agrees to use Clarified Concepts-approved content for training delivery unless written permission is granted by Clarified Concepts.

  12. Equipment and Expenses. Contractor understands that Clarified Concepts  will not pay for home business equipment, including computer, phone, Internet, etc.
